What Is Company Registration in Ireland?

Registering with the Companies Registration Office (CRO) gives your business a legal identity and limited liability. It’s the first step for anyone registering a limited company in Ireland. Your company becomes a legal entity in its own right once incorporated, separate from you personally, so your finances stay ring-fenced from whatever happens in the business.

Steps to Register a Company in Ireland

  1. Company name check: we confirm your proposed name will be approved by the CRO.
  2. Form A1: you sign it; we prepare and file the rest.
  3. Constitution: we use a CRO pre-approved constitution under the Fé Phráinn scheme to speed things up.
  4. Filing fee: the CRO charges €50 per application, included in our package.
  5. Certificate of Incorporation: the CRO issues your company number and certificate once approved.

You can also register directly with the CRO yourself. Rejected names and constitution errors cause most delays, so it’s worth a check first.

Choosing and Checking Your Company Name

Before you fall for a company name, it helps to know what the CRO rejects. Under Section 26 of the Companies Act 2014, the Registrar can refuse any name it considers “undesirable”:

  • Names identical, or too similar, to one already registered, including names that sound alike or mimic letters with numbers.
  • Names that are offensive or mislead the public about the business.
  • Names implying a State connection without permission.
  • Restricted words such as “bank” or “society”, needing regulator sign-off first.

If a similar name slips through, Section 30 lets the Registrar direct a change within six months. A proper check before filing avoids that, which is exactly what our name check covers.

What You’ll Need

Directors Without a PPS Number

Since 11 June 2023, every director named on a CRO filing, including your Form A1, has had to provide their Personal Public Service number under Section 888A of the Companies Act 2014, inserted by the Companies (Corporate Enforcement Authority) Act 2021. It confirms the person named is who they say they are.

Where a director has none, the law allows “other information concerning the identity of the director as stands determined by the Registrar” instead: a Form VIF, a declaration witnessed by a notary public, which the CRO uses to issue a Verified Identity Number covering every future filing. Registered Office and Company Secretary

Every Irish company needs a registered office address for CRO correspondence, and a Company Secretary to keep records and file Annual Returns. Sole director? Someone else must fill that role. Kinore can provide both, plus a Dublin business address.

What the Company Secretary Actually Does

It’s easy to treat the Company Secretary as a box-ticking title. It carries real weight:

  • Maintaining the statutory registers of members, directors and secretaries.
  • Filing the Annual Return with the CRO on time, every year.
  • Arranging board minutes and the Annual General Meeting.
  • Countersigning documents sealed by the company, covered further down.

Under Section 345 of the Companies Act 2014, your first Annual Return Date falls automatically six months after incorporation, then annually on its anniversary:

Is a Company Seal a Legal Requirement?

Yes, and this catches people out, because plenty of blog posts claim it’s optional now. It isn’t. Section 43 of the Companies Act 2014 is explicit: every Irish company “shall have a common seal”, engraved with the company’s name. It’s used only under the directors’ authority, and any sealed document needs a director’s signature, countersigned by the Company Secretary or a second director. That’s why our package includes one as standard.

Can a Non-Resident Director Register an Irish Company?

Yes, but there’s a condition worth knowing first. Under Section 137 of the Companies Act 2014, at least one director must be EEA-resident. If none of yours are, you need one of two things:

  • A bond, in the prescribed form, to the value of €25,000, covering the State if the company fails to pay certain fines or penalties.
  • A certificate from the Registrar confirming a “real and continuous link” with economic activity in Ireland, under Section 140, backed by a supporting statement from Revenue.
